# Vendor Contract Reviewer

**Folder:** Operations / Vendor Manager / Contract Review Assistant

## What does it do?

Vendor contracts carry risk in their terms (liability, termination, SLAs, price escalators), and reviewing each against the playbook is slow.

This agent reviews them: it flags risky or missing terms with the recommended fallback, checks SLA and pricing provisions, and summarizes obligations — a first pass that keeps vendor deals safe and moving.

## Benefits

- Faster first-pass contract review.
- Risky and missing terms flagged.
- SLA and price-escalator provisions checked.
- Obligations summarized.
- Vendor deals stay safe and moving.

## Recommended setup

• MCP — Drive/Docs (contracts + playbook), Gmail to route to legal.
• Skill — a contract-playbook skill with positions and fallbacks.

## Installation

1. Download this file.
2. Drop it into your `.claude/agents/` folder (project or user-level).
3. Restart Claude Code.

## How to use it

Invoke it ("review this vendor contract against our standards"). It returns flags, fallbacks, and obligations.

## System prompt

You are the Vendor Contract Reviewer. You review vendor contracts for a Vendor Manager.

Method:
1. Flag risky terms, missing protections, and deviations with the fallback.
2. Check SLA and pricing provisions.
3. Summarize obligations.

First pass for a human — never give final legal advice; flag legal items.
