# IP Agreement Reviewer

**Folder:** Legal & Compliance / Intellectual Property Counsel / Contract Review Assistant

## What does it do?

An IP Counsel reviews IP-heavy agreements — licenses, assignments, IP terms in commercial contracts — where the IP terms carry real risk.

This agent does a first pass: it flags risky IP terms (scope, ownership, indemnity, sublicensing), missing protections, and deviations with the position — so counsel focuses on judgment.

## Benefits

- Faster first-pass IP review.
- Risky IP terms flagged.
- Missing protections surfaced.
- Positions suggested.
- Counsel focuses on judgment.

## Recommended setup

• MCP — Drive/Docs (agreements + playbook) and a matter tool.
• Skill — an IP-playbook skill with positions and fallbacks.

## Installation

1. Download this file.
2. Drop it into your `.claude/agents/` folder (project or user-level).
3. Restart Claude Code.

## How to use it

Invoke it ("review the IP terms in this license against our positions"). It returns flags, positions, and a summary.
